These Terms of Service (“Terms”) govern your access to and use of proseedholisticwellness.com (the “Site”), including purchases of physical products, digital materials, educational content and aromatherapy consultation services.

The Site is operated by ProSeed Holistics LLC, doing business as ProSeed Holistic Wellness (“ProSeed,” “we,” “us” or “our”).

By visiting the Site, placing an order, downloading content, booking a consultation or otherwise using our services, you agree to these Terms and to the policies referenced in them. If you do not agree, please do not use the Site or purchase our products or services.

1. Eligibility and Acceptable Use

You must be at least the age of majority in your state or country of residence to make a purchase or enter into these Terms.

A parent or legal guardian must arrange and consent to a consultation involving a minor.

You may not use the Site or our products, services or content:

• For an unlawful or unauthorized purpose;
• To violate another person’s rights;
• To transmit malicious software or harmful code;
• To interfere with the Site’s operation or security;
• To collect information about others without authorization;
• To impersonate another person;
• To submit false, fraudulent or misleading information; or
• To reproduce or commercially exploit our content without written permission.

We may suspend or terminate access when we reasonably believe these Terms have been violated.

2. Products and Services

We offer personal-care products, cosmetics, aromatherapy products, educational materials and consultation services.

Product and service availability may change without notice. We may limit quantities, discontinue items, restrict sales to certain locations or refuse or cancel orders when reasonably necessary, including suspected fraud, pricing errors, inventory problems or unauthorized resale.

We make reasonable efforts to display product colors, textures, packaging and other characteristics accurately. Actual appearance may vary because of screen settings, ingredient characteristics, natural batch variation or packaging updates.

Small-batch and botanically derived products may reasonably vary in color, aroma, consistency or appearance. Such natural variation does not necessarily indicate a defect.

3. Product Information and Safe Use

Read and follow all product labels, directions, warnings and storage instructions before use.

Unless expressly stated otherwise, ProSeed skincare, cosmetic and aromatherapy products are intended for external use only. Keep products out of reach of children and avoid direct contact with the eyes.

Perform a patch test before first use, particularly if you have sensitive skin, known allergies or sensitivities. Discontinue use if irritation or an unexpected reaction occurs.

Consult an appropriately qualified healthcare professional before using essential oils or other aromatherapy products if you are pregnant, breastfeeding, taking medication, managing a medical condition or selecting products for a child.

Do not use a product in a manner inconsistent with its label or directions.

4. Educational and Medical Disclaimer

Information provided through the Site, blog posts, product descriptions, downloads, classes, consultations and other materials is offered for general educational and informational purposes.

It is not intended to diagnose, treat, cure or prevent disease and is not a substitute for medical diagnosis, treatment, therapy or advice from a licensed healthcare professional.

ProSeed Holistic Wellness does not provide emergency medical services. If you believe you are experiencing a medical emergency, contact emergency services immediately.

Statements concerning cosmetic, personal-care or aromatherapy products have not necessarily been evaluated by the U.S. Food and Drug Administration. Individual experiences and results vary.

Nothing on the Site creates a physician-patient, therapist-client or other licensed healthcare-provider relationship.

5. Aromatherapy Consultations

Aromatherapy consultations are educational wellness services intended to provide individualized information concerning aromatherapy practices and product use. They are not medical examinations, diagnoses, prescriptions or treatments.

You agree to provide accurate and reasonably complete information relevant to the consultation, including known allergies, sensitivities, medications, pregnancy or breastfeeding status and other material health considerations.

You remain responsible for determining whether to follow any educational suggestion and for consulting a licensed healthcare professional when appropriate.

Consultations may be canceled or rescheduled in accordance with our Return and Refund Policy. Appointments canceled with less than 24 hours’ notice and missed appointments are non-refundable unless otherwise required by law or agreed to by ProSeed.

If ProSeed must cancel an appointment, you may reschedule or receive a refund for the affected consultation.

6. Digital Products and Educational Materials

Digital downloads and educational materials are licensed—not sold—to you for your individual, personal and noncommercial use unless different written terms are provided.

You may not:

• Copy or reproduce materials for distribution;
• Upload or post them publicly;
• Share purchased access with others;
• Resell, sublicense or commercially exploit them;
• Remove copyright, trademark or attribution notices; or
• Use them to create substantially similar commercial materials.

Digital products are non-refundable once delivered or made accessible, except where required by law. If you experience an access problem, contact us so we can assist you.

7. Orders, Billing and Payment

You agree to provide current, complete and accurate order, billing, shipping and account information.

We may refuse, limit or cancel an order if:

• Payment cannot be authorized;
• Information appears inaccurate or fraudulent;
• An item is unavailable;
• A pricing or listing error occurred;
• The order appears intended for unauthorized resale; or
• Fulfilling the order would violate applicable law.

If we cancel an order after payment has been collected, we will refund the applicable amount to the original payment method.

Prices and promotions may change without notice. Applicable taxes and shipping charges will be displayed during checkout when available.

8. Shipping, Returns and Refunds

Shipping estimates are estimates and are not guaranteed delivery dates. Delays may occur because of carriers, weather, customs, incorrect address information or circumstances outside our reasonable control.

Returns, refunds, exchanges, damaged items, digital purchases and consultation cancellations are governed by our Return and Refund Policy and Shipping Policy, which are incorporated into these Terms.

9. Promotions, Discounts and Gift Cards

Promotions and discount codes may be subject to separate conditions, expiration dates and product exclusions.

Unless expressly stated otherwise, promotions cannot be combined, applied retroactively or redeemed for cash.

Gift cards are subject to applicable law and any terms displayed when purchased.

10. Intellectual Property

The Site and its contents—including text, product names, formulations as disclosed through educational materials, photographs, graphics, logos, videos, downloads, course materials and overall design—are owned by or licensed to ProSeed and are protected by applicable intellectual-property laws.

You may access Site content for personal, noncommercial use. No content may be copied, reproduced, modified, distributed, sold, published or commercially used without prior written authorization, except where permitted by law.

“ProSeed,” “ProSeed Holistic Wellness” and related names, logos and branding may not be used without written permission.

11. Reviews, Feedback and User Submissions

If you submit a product review, testimonial, photograph, comment or other content, you represent that:

• The submission reflects your honest experience;
• You have the right to provide it;
• It does not violate another person’s rights;
• It is not unlawful, deceptive, defamatory or abusive; and
• Any material connection, discount or compensation has been appropriately disclosed.

You grant ProSeed a nonexclusive, worldwide, royalty-free license to display, reproduce and use the submission for operating and promoting our business, subject to applicable privacy and advertising laws.

We may remove submissions that violate these Terms or applicable law. We are not obligated to publish every submission.

12. Third-Party Services and Links

The Site may rely on or link to third-party services, including Shopify, payment processors, shipping carriers, scheduling services and social-media platforms.

We do not control third-party websites or services and are not responsible for their content, availability, privacy practices or independent actions. Your use of a third-party service may be governed by that provider’s terms and policies.

13. Privacy

Our collection, use and disclosure of personal information are described in our Privacy Policy.

By using the Site, you acknowledge that information may be processed by Shopify and other service providers as necessary to operate the Site and provide requested products and services.

14. Errors and Corrections

The Site may occasionally contain typographical errors, inaccurate information or omissions concerning descriptions, prices, promotions, availability, shipping charges or delivery estimates.

We may correct errors and update information when discovered. If an error materially affects an order you have already placed, we will notify you and provide an appropriate opportunity to confirm or cancel the affected order.

15. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Site and its content are provided on an “as available” basis.

We do not guarantee that the Site will always be uninterrupted, secure or error-free, or that all information will always be complete and current.

Nothing in these Terms excludes warranties, rights or remedies that cannot legally be excluded under applicable consumer-protection law.

16. Limitation of Liability

To the fullest extent permitted by applicable law, ProSeed Holistics LLC and its owners, employees, contractors and service providers will not be liable for indirect, incidental, special, punitive or consequential damages arising from use of the Site, products, services or content.

Where liability cannot lawfully be excluded, our liability will be limited to the maximum extent permitted by law.

These limitations do not apply where prohibited by law and do not limit rights or remedies that cannot legally be waived.

17. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless ProSeed Holistics LLC from third-party claims, liabilities and reasonable expenses arising from your unlawful use of the Site, your material violation of these Terms or your infringement of another person’s rights.

18. Termination

You may stop using the Site at any time.

We may restrict or terminate access if we reasonably determine that you violated these Terms, engaged in fraudulent activity, threatened the security of the Site or used the Site in a way that could harm ProSeed or another person.

Provisions that by their nature should survive termination—including intellectual-property, payment, disclaimer and limitation provisions—will remain in effect.

19. Governing Law

These Terms are governed by the laws of the State of Michigan and applicable federal law, without regard to conflict-of-law principles.

Subject to any mandatory consumer rights or jurisdictional requirements, legal proceedings arising from these Terms will be brought in an appropriate state or federal court located in Oakland County, Michigan.

20. Severability

If any provision of these Terms is found unlawful or unenforceable, that provision will be enforced to the maximum extent permitted or severed, and the remaining provisions will continue in effect.

21. Entire Agreement

These Terms, together with the Privacy Policy, Return and Refund Policy, Shipping Policy and other policies referenced on the Site, constitute the agreement between you and ProSeed regarding use of the Site and its services.

22. Changes to These Terms

We may update these Terms to reflect changes in our services, business practices or legal obligations.

The updated Terms will be posted on the Site with a revised “Last updated” date. Your continued use of the Site after an update constitutes acceptance of the revised Terms to the extent permitted by law.
